By accessing or using any services, websites, or products provided by EZ Dev Flow LLC ("EZ Dev Flow," "we," "our," or "us"), including but not limited to our subsidiary brands such as MyTechCards.com, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.

In the event of a conflict between these Terms and a separate written agreement, the separate agreement shall govern with respect to that specific service.

When you subscribe to or use any SaaS product or platform provided by EZ Dev Flow (including products offered under subsidiary brands such as MyTechCards.com):
When EZ Dev Flow undertakes custom development work built specifically to your specifications under a project contract or statement of work:
In cases where custom development involves extending or customizing a SaaS platform, ownership and licensing will be explicitly defined in the project agreement. Generally, platform access remains licensed while custom extensions may be owned by the client, subject to contract terms.
All intellectual property rights in and to EZ Dev Flow's services, platforms, websites, products, trademarks, service marks, trade names, logos, branding materials, and proprietary technology (collectively, "EZ Dev Flow IP") are and shall remain the exclusive property of EZ Dev Flow LLC.
This includes, but is not limited to:
Unless explicitly granted in a separate written agreement, clients and users do NOT receive any rights, licenses, or access to EZ Dev Flow's internal tools, development frameworks, proprietary methodologies, or platform infrastructure, even if such tools were used in delivering services to the client.
IMPORTANT: EZ Dev Flow LLC expressly reserves the right to change, rebrand, rename, discontinue, or modify any product name, brand name, service name, feature name, or trademark at any time, for any reason, without prior notice and without liability to users or clients.
This includes, but is not limited to, situations where:
In the event of a name change or rebranding, EZ Dev Flow will make commercially reasonable efforts to notify affected users through available communication channels (email, platform notifications, website announcements), but shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from such changes, including but not limited to business disruption, reputational impact, or costs associated with updating materials.
You retain ownership of any original content, data, or materials you create or upload to our services. By using our services, you grant EZ Dev Flow a limited, worldwide, non-exclusive license to host, store, process, and display your content solely for the purpose of providing services to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZ DEV FLOW LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT EZ DEV FLOW HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL EZ DEV FLOW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OUR SERVICES EXCEED THE AMOUNT YOU PAID TO EZ DEV FLOW, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.
YOUR USE OF EZ DEV FLOW'S SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
We do not guarantee any specific uptime percentage, response time, or availability metric. While we strive to provide reliable services, we make no warranties regarding service continuity, data preservation, or fitness for any particular business purpose.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you to the extent prohibited by law.

EZ Dev Flow is not responsible for and makes no warranties regarding the availability, reliability, security, or policies of any third-party services. Service outages, data breaches, policy changes, or failures of third-party providers are beyond our control. You acknowledge that your use of our services may be impacted by third-party service performance.
Any third-party services integrated with our platforms are subject to their respective terms of service and privacy policies. Your use of such services may be subject to additional terms.

Custom development work is governed by the payment terms specified in the project contract or statement of work. Payment schedules may include deposits, milestone payments, or final payments upon completion.
Refund policies vary by service type and are communicated in the specific terms for each service. EZ Dev Flow reserves the right to offer refunds at its sole discretion.
EZ Dev Flow reserves the right to suspend or terminate your access to any or all services, immediately and without prior notice, for any reason, including but not limited to:

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Wichita County, Texas. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
EZ Dev Flow LLC reserves the right to modify, update, or replace these Terms of Service at any time, for any reason, at our sole discretion. We will make reasonable efforts to notify users of material changes by:

From time to time, EZ Dev Flow LLC may offer free services, community projects, pro bono work, or donated development services to individuals, non-profit organizations, or community groups ("Community Initiatives").
All Community Initiatives are offered at EZ Dev Flow's sole and absolute discretion and are subject to the following terms:
If a Community Initiative participant wishes to transition to a formal client relationship with defined deliverables, timelines, and support commitments, a separate written agreement must be negotiated and executed.
You agree to defend, indemnify, and hold harmless EZ Dev Flow LLC, its subsidiaries, affiliates, officers, directors, employees, agents, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:
This indemnification obligation will survive termination of these Terms and your use of our services.
EZ Dev Flow reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with EZ Dev Flow in asserting any available defenses.
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the invalid provision shall be severed from these Terms.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms. The remaining provisions shall continue in full force and effect.
In the event of severability, the parties agree to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, to the greatest extent possible, the original intent and economic effect of the invalid provision.
These Terms of Service, together with any service-specific terms, subscription agreements, project contracts, and our Privacy Policy, constitute the entire agreement between you and EZ Dev Flow LLC regarding the use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
No amendment to these Terms shall be effective unless made in writing and signed by an authorized representative of EZ Dev Flow LLC.
The failure of EZ Dev Flow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of EZ Dev Flow.
You may not assign or transfer these Terms or your rights and obligations hereunder, in whole or in part, without the prior written consent of EZ Dev Flow. EZ Dev Flow may freely assign or transfer these Terms and its rights and obligations hereunder without restriction. Any attempted assignment in violation of this section shall be null and void.
